ARTICLES OF INCORPORATION Changes to Principal Office and Resident Agent BACKGROUND: Upon closer examination of filing procedures required by the State Department of Assessments and Taxation, the Legal Committee finds that (unlike the change of address for the Personal Property report, which is a simple letter filing) the change of address of the Principal Office and the change of name and address of the Resident Agent must both be in the form of a statement by a principal officer of the Cooperative (president or vice president), certifying the approval of those changes by the Board. The statement must also be signed by the new Resident Agent, consenting to the designation. The Department's recording fee (for the combined statement) is $25.00.
